Society of Carillon Alumni and Friends Constitution


Carillon charter

The Society was formally chartered at the ISU Alumni Association's spring luncheon in 2008.


Article I – Name

Section 1.  The name of this organization shall be The Society of ISU Carillon Alumni and Friends.

Article II – Purposes

Section 1.  The purposes for which this Society is formed are:

     A. Mission Statement: The Society of ISU Carillon Alumni and Friends 
     exists to bring together people who are passionate about carillon music 
     and its traditions at Iowa State University. 

     B. Goals: 

     1.  Provide network building among carillon students, alumni, and friends. 
     2.  Help increase awareness of carillon activities available on campus including carillon 
          lessons for current students. 
     3.  To ensure the Campanile and Carillon remains a prominent and functioning icon of 
          Iowa State University.

Article III – Membership and Dues 

Section 1.  Any person(s) who are alumni, students, or friends of Iowa State University are eligible for membership in the Society. 

Section 2. The Society must have a minimum of 20 Alumni Association dues paying members. 

Section 3. Dues cannot be charged to Society members. 

Section 4. Each member of the Society shall be entitled to one vote in the affairs of the Society, as provided in this constitution and its subsequent bylaws. 

Article IV - Government 

Section 1. The government of the Society will be a Board of Directors consisting of President/Chairperson and a minimum of two other officers all of whom must hold membership in the Iowa State University Alumni Association. Additional Officers may be determined as needed and approved by the Board of Directors.

Section 2.  The officers of the Society will be elected during the summer for 2 year terms or serve until their successors have been elected and qualified. 

Article V – Duties of the Officers

Section 1.  President: The President shall preside at all meetings of the Society, serve as an ex-officio member of all committees, and appoint committees as needed. 

Section 2.  Vice-President and Event Chair: The Vice President shall preside at all meetings where the President is not able to be in attendance. The Vice President shall further have the responsibility of organizing all regular and special events for the Society. 

Section 3.  Secretary: The Secretary shall maintain accurate and detailed minutes of the proceedings of all scheduled and special meetings and serve in the absence of the President and/or Vice President. In addition, the secretary shall serve as treasurer, maintaining financial records of all income and expenses and distribute reports in a timely manner to the President.

Article VI – Meetings 

Section 1.  At least one meeting of the Society must be held each year. Failure to comply with this provision shall make the Society charter subject to revocation by the Iowa State University Alumni Association. 

Section 2.  At least 1 meeting must be held each year with the Board of Directors. 

Section 3.  Quorum: A majority of all Members of the Society in attendance shall be necessary to constitute a quorum at any regular or special meeting of the Members for the transaction of any business properly coming before any such meeting. 

Article VII – Adoption 

Section 1.  The constitution shall be officially adopted upon its approval by a majority vote of the members of the Society in attendance at any regular or special meeting of the Society. It shall take effect upon the granting of authorization of its function as one of the official Alumni Special Interest Societies by the Iowa State University Alumni Association Board of Directors. 

Article VII – Amendments 

Section 1.  Proposed amendments to this constitution shall be submitted in writing to the President of The Society of ISU Carillon Alumni and Friends at least thirty (30) calendar days before any meeting of the Society, and shall be discussed and, voted upon at said meeting. A two-thirds vote of all members present at any meeting duly called of the members of the Society shall be required for adoption of any proposed amendment.
